En revanche, dans des conditions normales, les assembl\u00e9es g\u00e9n\u00e9rales organis\u00e9es exclusivement sur Internet - c'est-\u00e0-dire sans lieu de r\u00e9union physique - ne sont pas autoris\u00e9es par la loi.&nbsp;<\/p>\n\n\n\n<p>Pour lutter contre le coronavirus, le Conseil f\u00e9d\u00e9ral a \u00e9dict\u00e9 une ordonnance qui r\u00e9glemente notamment les assembl\u00e9es g\u00e9n\u00e9rales. Dans le cadre de la situation exceptionnelle dans laquelle se trouve actuellement la Suisse, les actionnaires peuvent exceptionnellement exercer leurs droits exclusivement par \u00e9crit, sous forme \u00e9lectronique ou par l'interm\u00e9diaire d'un repr\u00e9sentant ind\u00e9pendant d\u00e9sign\u00e9 par l'organisateur. En d'autres termes, cela signifie que les d\u00e9cisions de l'assembl\u00e9e g\u00e9n\u00e9rale sont valables m\u00eame si les actionnaires ne se r\u00e9unissent pas dans un lieu de r\u00e9union physique.&nbsp;<\/p>\n\n\n\n<p>Le droit suisse des soci\u00e9t\u00e9s anonymes repose sur le principe d'imm\u00e9diatet\u00e9, qui permet aux actionnaires de participer directement et sans d\u00e9lai \u00e0 l'assembl\u00e9e g\u00e9n\u00e9rale. Cela implique des possibilit\u00e9s de poser des questions et de faire des propositions, d'exprimer son opinion lors de discussions et de voter sur les points ordinaires de l'ordre du jour et les propositions d\u00e9pos\u00e9es spontan\u00e9ment. Une bonne gouvernance d'entreprise suppose que les actionnaires ne soient pas oblig\u00e9s de voter \u00e0 l'avance, mais qu'ils puissent se forger une opinion sur la base des diff\u00e9rents votes et ainsi se prononcer en toute connaissance de cause sur les d\u00e9cisions prises par l'AG. Les votes anticip\u00e9s par \u00e9crit ou par voie \u00e9lectronique sont certes autoris\u00e9s par la loi, mais du point de vue de la gouvernance d'entreprise et dans l'int\u00e9r\u00eat des meilleures d\u00e9cisions possibles de l'entreprise, ils ne constituent que la deuxi\u00e8me meilleure solution.<\/p>\n\n\n\n<p>Les solutions logicielles modernes et les formes de communication \u00e9lectronique permettent aux entreprises de faire participer leurs associ\u00e9s aux assembl\u00e9es g\u00e9n\u00e9rales en temps r\u00e9el, m\u00eame \u00e0 distance, de les faire intervenir et de voter sur les points \u00e0 l'ordre du jour et les propositions -
