L'initiative Swiss Investment Syndicate Agreement Template (SISAT<\/a>) et Konsento, une start-up suisse qui propose une plateforme de relations avec les investisseurs pour les entreprises non cot\u00e9es en bourse, concluent un partenariat au profit de la communaut\u00e9 des investisseurs suisses.<\/p>\n\n\n\n

L'initiative SISAT, soutenue par un grand nombre d'acteurs cl\u00e9s du capital-risque en Suisse, b\u00e9n\u00e9ficie du soutien technologique de la plateforme de Konsento pour permettre la cr\u00e9ation simple et rapide de syndicats de co-investissement et la gestion juridiquement s\u00fbre de leur cycle de vie. En outre, les entreprises cibles des syndicats b\u00e9n\u00e9ficient des services num\u00e9riques \u00e9prouv\u00e9s de Konsento en mati\u00e8re de relations avec les investisseurs.<\/p>\n\n\n\n

Le SISAT permet aux startups et aux investisseurs non-professionnels de regrouper des investissements en utilisant un contrat de partenariat simple et open-source. L'avantage pour les investisseurs est de pouvoir participer \u00e0 n'importe quel deal pour lequel la taille minimale du ticket est trop \u00e9lev\u00e9e pour investir directement de mani\u00e8re individuelle, et pour la startup d'attirer plus d'investisseurs business angels \u00e0 bord sans fragmenter leur cap-table. <\/p>\n\n\n\n

Le partenariat entre SISAT et Konsento renforce ces avantages en mettant \u00e0 la disposition du chef de file une bo\u00eete \u00e0 outils num\u00e9rique qui lui permet de mettre en place rapidement et facilement le syndicat de co-investissement et d'organiser ses t\u00e2ches vis-\u00e0-vis des co-partenaires et de la startup. Il s'agit notamment de r\u00e9diger et de signer le contrat SISAT, de tenir \u00e0 jour le registre des parts de chaque partenaire, d'\u00e9changer des nouvelles et des mises \u00e0 jour sur l'\u00e9volution de l'entreprise cible, de centraliser l'archivage des documents du syndicat, d'organiser et de tenir des r\u00e9unions de partenaires afin de recueillir les votes pour l'assembl\u00e9e g\u00e9n\u00e9rale de la startup. La plateforme Konsento permet au chef de file et \u00e0 tous les coassoci\u00e9s du syndicat d'acc\u00e9der \u00e0 ces informations. <\/p>\n\n\n\n

Le SISAT a pour objectif d'\u00eatre l'accord standard suisse pour la syndication d'investissements par des investisseurs providentiels qui investissent de petits montants dans une start-up. En permettant \u00e0 jusqu'\u00e0 20 investisseurs de se pr\u00e9senter en tant qu'investissement \u00e0 ticket unique, l'utilisation du SISAT permet aux investisseurs d'acc\u00e9der \u00e0 des deals pour lesquels le ticket minimum d\u00e9passe le montant de leur investissement individuel souhait\u00e9.<\/p>\n\n\n\n
